Terms of Use for Timefall

1. Agreement to Terms

By downloading, installing, and using the Timefall App ("the App"), you agree to be bound by these Terms of Use ("Agreement"). If you do not agree to these terms, do not install or use the App.

This Agreement is entered into between you ("User") and Ilia Usatov ("Developer") and governs your use of the App. By using the App, you also acknowledge that payments and subscriptions are processed through Apple Inc. ("Apple") under Apple's terms and conditions.


2. License and Permitted Use

2.1 License Grant

The Developer grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App solely for your personal, non-commercial use on devices you own or control.

2.2 Restrictions on Use

You agree NOT to:

  • Copy, modify, or create derivative works based on the App
  • Sell, lease, or sublicense the App
  • Reverse-engineer, decompile, or disassemble the App
  • Remove or alter any proprietary notices or labels
  • Use the App for commercial purposes
  • Attempt to gain unauthorized access to any portion of the App
  • Use the App in any way that could damage, disable, or overburden the App or its systems
  • Distribute or transmit viruses, malware, or harmful code
  • Violate any applicable laws or regulations

3. In-App Purchases and Subscriptions

3.1 Subscription Options

The App offers optional in-app subscriptions and a lifetime purchase option to unlock premium features:

  • Monthly subscription: Renewable monthly
  • Yearly subscription: Renewable annually
  • Lifetime purchase: One-time payment for perpetual access

All prices are displayed at the time of purchase in your local currency, as determined by your App Store account settings.

3.2 Billing and Auto-Renewal Terms (Schedule 2 Compliance)

IMPORTANT INFORMATION ABOUT AUTO-RENEWING SUBSCRIPTIONS:

  • Payment Processor: All payments and subscriptions are processed exclusively through Apple's StoreKit. Payment will be charged to your Apple ID account upon confirmation of purchase.
  • Automatic Renewal: Your subscription will automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current subscription period.
  • Renewal Billing: You will be charged for renewal within 24 hours before the end of the current period. The cost of renewal will be equal to the price of the subscription at the time of renewal.
  • Subscription Management: You can manage your subscriptions and turn off auto-renewal by going to your Apple ID Settings > Subscriptions > Timefall, where you can view renewal dates and disable auto-renewal. This is the ONLY way to manage or cancel your subscription.
  • Free Trial Forfeiture: Any unused portion of a free trial period (if offered) will be forfeited when you purchase a subscription.

3.3 Lifetime Purchase

The "Lifetime" purchase option grants access to premium features for the duration of the App's availability and support by the Developer. This purchase:

  • Does not auto-renew
  • Has no expiration date as long as the App is available
  • Applies to your Apple ID account
  • Is a non-consumable in-app purchase (not a subscription)

If you use Family Sharing, the Lifetime purchase is tied to the primary account holder's Apple ID.

3.4 Refunds

Refund requests are handled exclusively by Apple in accordance with their App Store policies. You cannot request refunds directly from the Developer. To request a refund:

  1. Open the App Store app
  2. Tap your profile icon
  3. Select Purchased
  4. Find Timefall
  5. Select the purchase and request a refund

Apple will review your request and make a determination within 15 days.

3.5 Restore Purchases

If you have previously purchased a subscription or lifetime access, you can restore it to another device using the same Apple ID. Use the "Restore Purchases" button in the App's settings.

3.6 Data Sharing with Apple for Payments

By purchasing or subscribing through the App, you acknowledge that:

  • Your Apple ID identifier and transaction information is transmitted to Apple for payment processing
  • Apple StoreKit is the payment processor, and payment data is handled according to Apple's privacy policies
  • The Developer does not have direct access to your payment methods, credit card information, or detailed financial data

4. Intellectual Property Rights

4.1 Developer's Rights

All content, design, functionality, and intellectual property in the App are owned by or licensed to the Developer. This includes, but is not limited to:

  • Software code and algorithms
  • User interface and design
  • Graphics, icons, and artwork
  • Sounds and music
  • All trademarks and trade names

You are not granted any right or license to use any of these elements except as expressly permitted in this Agreement.

4.2 User Content

If you create or upload any content through the App (to the extent the App permits this), you grant the Developer a worldwide, royalty-free license to use, copy, and display that content for the purpose of providing and improving the App.


5. Health and Medical Disclaimer

5.1 Not Medical Advice or Device

IMPORTANT: Timefall is NOT:

  • A medical device
  • A substitute for professional medical care
  • Intended to diagnose, treat, cure, or prevent any disease or medical condition
  • Intended to provide medical or psychological treatment
  • A substitute for therapy, counseling, or medical consultation

The "Mindful Minutes" tracking feature is provided for informational purposes only.

5.2 Consultation with Healthcare Providers

Before making any changes to your health routine, starting any new meditation or mindfulness practice, or using the App if you have any medical condition or mental health concerns, consult with a qualified healthcare provider or mental health professional.

If you experience any adverse effects or health concerns while using the App, discontinue use and seek professional medical advice immediately.


6. Warranty Disclaimer and Limitation of Liability

6.1 No Warranty

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE DEVELOPER DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, completeness, or reliability
  • Warranties that the App will be uninterrupted or error-free
  • Warranties regarding the security of your data
  • Any warranty arising from course of dealing or usage of trade

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE DEVELOPER SHALL NOT BE LIABLE FOR:

  • Loss of data, profits, or revenue
  • Indirect, incidental, consequential, special, or punitive damages
  • Damages arising from your use of or inability to use the App
  • Damages from unauthorized access to or alteration of your transmissions or data
  • Any other damages arising from your use of the App, even if the Developer has been advised of the possibility of such damages

Your sole remedy for dissatisfaction with the App is to uninstall it.


7. Apple's Role and Acknowledgments

7.1 Relationship with Apple

The App is offered through Apple's App Store. However:

  • Apple is not a party to this Agreement. This Agreement is solely between you and the Developer.
  • Apple is not responsible for: The App's content, functionality, data handling, or any claims arising from your use of the App (except for payment processing through StoreKit, which is governed by Apple's terms).
  • Apple does not provide support: Apple provides no technical support for the App. For support, contact the Developer at support@iliausatov.com.
  • Apple does not accept liability: In the maximum extent permitted by law, Apple disclaims all liability related to the App.

7.2 Apple StoreKit Payment Processing

The following terms specifically govern Apple's role in payment processing:

  • Apple is the payment processor for all in-app purchases and subscriptions
  • Apple StoreKit handles: Charging your Apple ID account, processing refunds, managing subscription renewals, and subscription management
  • Apple's responsibility: Apple is solely responsible for payment processing and is not responsible for the App's functionality
  • Your remedies: For payment-related issues, contact Apple Support, not the Developer

7.3 Custom EULA Acknowledgments

Since this is a custom EULA (replacing Apple's Standard EULA), the following acknowledgments apply:

7.3.1 Apple's Warranty Disclaimer

If the App does not conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App.

7.3.2 Apple's Limitation of Liability

In no event shall Apple be liable for any claims by you or any third party relating to the App or your use or possession of the App, including but not limited to:

  • Product liability claims
  • Any claim that the App fails to conform to any legal or regulatory requirement
  • Claims arising under consumer protection, unfair competition, or similar legislation

7.3.3 Third-Party Beneficiary

You acknowledge that Apple is a third-party beneficiary of this Agreement and has the right to enforce this Agreement against you.

7.3.4 No Technical Support from Apple

Apple has no obligation to furnish any maintenance, support, updates, or enhancements to the App.

7.3.5 Intellectual Property Claims

If a third party asserts that the App or your use of the App infringes that party's intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of such infringement claim.

7.3.6 Apple's Role in Payment Disputes

Apple StoreKit is the exclusive payment processor. Apple is responsible for:

  • Processing payments
  • Managing subscription renewals
  • Handling refund requests
  • Protecting payment data

The Developer is not responsible for any payment-related issues, disputes, or refunds. Contact Apple Support for all payment-related inquiries.


8. Privacy and Data

Please see the Timefall Privacy Policy for a complete explanation of our data handling practices. By using the App, you also agree to the Privacy Policy.

Key Privacy Points:

  • We do not collect personal information on the Developer's servers
  • All session data is stored locally on your device
  • We do not track you or use advertising networks
  • Your HealthKit data is never used for advertising or sold to third parties
  • Payment data is transmitted to Apple for processing (see Privacy Policy Section 2.4)
  • Apple StoreKit is the only third-party service we use (besides HealthKit)

9. Modifications to the App and Terms

9.1 Changes to the App

The Developer may, at any time and without notice:

  • Modify, suspend, or discontinue the App or any features
  • Update the App's functionality or appearance
  • Remove features you depend on

You agree to accept such changes. If you do not accept them, your only remedy is to uninstall the App.

9.2 Changes to These Terms

The Developer may update these Terms at any time. Changes become effective upon posting to the App or this website. Your continued use of the App after posting constitutes acceptance of the updated Terms.


10. Termination

10.1 Termination by You

You may terminate this Agreement at any time by uninstalling the App.

10.2 Termination by Developer

The Developer may terminate your license to the App if:

  • You violate any term of this Agreement
  • Your use is unlawful or violates the rights of others
  • The Developer discontinues the App

Upon termination, your license is revoked and you must uninstall the App. Any paid subscriptions or lifetime purchases should be managed through Apple ID Settings.


11. Governing Law and Jurisdiction

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles.

However, if you are a resident of the European Union, this Agreement shall comply with the mandatory consumer protection laws of your jurisdiction. If any provision conflicts with those laws, the laws of your jurisdiction take precedence.

11.2 Jurisdiction

Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Georgia, to the extent permitted by law.

For payment-related disputes, Apple's payment terms and dispute resolution procedures shall apply.


12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.


13. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Developer regarding the App and supersedes all prior and contemporaneous agreements, representations, and understandings.

For payment-related matters, Apple's Standard Terms and Conditions for App Store purchases also apply.


14. Legal Compliance

You represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
  • You are not listed on any U.S. Government list of prohibited or restricted parties
  • You comply with all applicable laws and regulations in your jurisdiction
